Terms of Service

Effective January 1, 2027. These terms are maintained by HyperSynapses Inc. ("we", "us") and govern your use of llmcloud.ai.

This page describes the current commercial terms for the llmcloud.ai product. It is not legal advice. Enterprise customers may sign a separate master agreement that supersedes these terms.

1. Acceptance

By creating an account or issuing an API key you agree to these terms and to our Privacy Policy. If you accept on behalf of an organization, you represent that you have authority to bind it.

2. The service

llmcloud.ai provides a routed HTTP API to third-party and open-source language and multimodal models, plus a dashboard for usage, billing, and observability. Model output is generated by upstream providers and may be inaccurate, incomplete, or offensive.

3. Accounts and API keys

  • You are responsible for safeguarding API keys and for all activity performed with them.
  • Notify us at security@llmcloud.ai immediately if you suspect a key is compromised.
  • One person or entity per account; sharing credentials across organizations is not permitted.

4. Acceptable use

You will not use the service to:

  • violate any law, regulation, or third-party right;
  • generate content that sexually exploits minors, incites violence, or facilitates targeted harassment;
  • produce or distribute malware, spam, phishing, or fraudulent content;
  • attempt to reverse-engineer routing internals, benchmark upstream providers deceptively, or evade rate limits;
  • process regulated data (HIPAA PHI, PCI cardholder data, EU AI Act high-risk workflows) without first executing the required addendum with us.

5. Upstream provider terms

When you route to a specific model, the upstream provider's usage policies also apply to that request. We enforce those policies at the gateway where required and may suspend traffic that violates them.

6. Fees and billing

  • Usage is metered per request based on token counts and the selected upstream. Current pricing is on the pricing page and in your dashboard.
  • Invoices are due on receipt. Overdue balances may incur a 1.5% monthly finance charge to the extent permitted by law.
  • Prepaid credits are non-refundable except where required by law and expire 12 months after purchase.
  • We may change pricing on 30 days' notice; existing prepaid credits keep their original rate.

7. Service levels

The gateway targets 99.9% monthly availability. Enterprise customers may sign an SLA with credits for missed targets. Availability of individual upstream models is subject to their providers; our smart routing is designed to failover automatically.

8. Confidentiality

Each party will protect the other's non-public information with the same care it uses for its own, and no less than a reasonable standard.

9. Intellectual property

You retain all rights in your inputs. As between you and us, you own outputs produced on your behalf, subject to the upstream provider's terms. We retain all rights in the gateway, dashboard, documentation, and routing algorithms.

10. Disclaimers

The service is provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Each party's aggregate liability arising out of the service is capped at the fees paid to us in the 12 months preceding the claim.

12. Indemnity

You will defend and indemnify us against third-party claims arising from your inputs, your use of the outputs, or your breach of these terms.

13. Suspension and termination

We may suspend or terminate access for material breach, non-payment, or activity that threatens the security or integrity of the service. You may cancel at any time from the dashboard; unused prepaid credits remain available until expiration.

14. Governing law

These terms are governed by the laws of the State of California, excluding its conflict of laws rules. Exclusive jurisdiction lies with the state and federal courts in San Francisco, California.

15. Changes

We will post material changes on this page and update the effective date. Continued use after the change becomes effective constitutes acceptance.
